Terms of Service

1. Acceptance of Terms

By accessing or using SMP Mockup Studio ("Service"), you agree to comply with and be bound by these Terms of Service. If you do not agree, you must not use the Service.

2. License Grant and Restrictions

We grant you a personal, limited, nonexclusive, nontransferable, revocable license to use the software while you comply with these Terms and all payment obligations.

You may not:

• Provide third-party access to your account or license
• Copy, reverse-engineer, resell, or transfer your license
• Permit third-party use via rental, lease, or hosting arrangements
• Access the software via timesharing or similar remote arrangements

Violation of these restrictions may result in immediate termination of your license and access to the Service.

3. Intellectual Property Rights

All technology, features, and functionality of this Service are the exclusive property of GoHighLead, LLC, including but not limited to:

• Proprietary software code, algorithms, and architecture
• Image-processing technology and mesh manipulation systems
• AI models and data structures
• User interface design, layouts, and visual elements
• Documentation, workflows, and related materials

These are protected under U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You acknowledge and agree that no ownership rights are transferred to you through your use of the Service.

4. Restrictions on Use and Acceptable Use

You may not:

• Copy, modify, or reverse-engineer any part of the Service
• Attempt to extract or derive the source code, algorithms, or architecture
• Create derivative works or competing products using the Service
• Resell, sublicense, or redistribute access to the Service
• Remove, obscure, or alter proprietary notices or branding
• Use the Service in violation of any applicable laws or regulations
• Use the Service for unlawful purposes or upload malware
• Send spam, unsolicited marketing, or violate A2P/SMS/email regulations
• Misrepresent your identity or use bots or scrapers
• Disparage GoHighLead, LLC or its affiliates

Any unauthorized use may result in immediate termination of access and potential legal action.

5. Operational Access and Account Integration

You acknowledge that GoHighLead may need access to your email, domain DNS, or social media accounts to integrate services effectively. We may set up email forwarders from your client email to an address designated by GoHighLead to enable certain features.

You agree to provide the access reasonably required to deliver services and understand that some integrations may involve third-party platforms.

6. User Content

You retain ownership of photographs or images you upload. By uploading content, you grant us a limited license to process and display your images solely for providing the Service.

We do not sell, share, or use your images beyond fulfilling your requested mockups.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. All mockups are for visualization purposes only and do not represent medical advice, treatment guarantees, or assured results.

8. Limitation of Liability

To the fullest extent permitted by law, GoHighLead, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of, or inability to use, the Service.

Our total liability is limited to the amount you paid in the two months preceding the claim. We are not liable for indirect or consequential damages, including lost profits, business, or data.

9. Indemnification

You agree to indemnify and hold harmless GoHighLead, LLC, its affiliates, and team members from any claims, damages, or losses arising from your use of the services or violation of these Terms.

We may assume exclusive defense of any such matter at our expense. You agree to reasonably cooperate with us in such defense.

10. Privacy & Data Protection

Use of the Service is also governed by our Privacy Policy. We are committed to safeguarding your personal data and uploaded content in compliance with applicable data protection laws.

11. Subscriptions, Billing, and Refunds

Billing

Subscriptions are billed in advance and automatically renew unless cancelled. A valid debit or credit card is required. Failure to pay may result in suspension and data loss. We may change fees with notice before renewal.

Refunds

Setup fees and retainer fees are 100% non-refundable. Subscription fees are 100% non-refundable and not prorated. All refunds are at our sole discretion.

Our payment processor does not refund processing fees. If we issue a refund at our sole discretion, the amount will be reduced by 3% processing fees.

By subscribing to or purchasing any plan (monthly, annual, or lifetime), you acknowledge and agree that:

• We do not provide refunds, credits, or prorated billing for unused time, partial access, or early cancellation.
• Trial access, when offered (such as 24-hour free accounts), is provided so you may evaluate the Service before committing to a paid plan.
• Lifetime deals are also non-refundable, non-transferable, and final.
• Exceptions may only be made where required by applicable law.

If you are unsure whether SMP Mockup Studio is right for you, we encourage you to use the free trial period before purchasing a paid plan.

Auto-Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You are responsible for cancelling your subscription if you do not wish to continue.

12. Account Sharing & Unauthorized Access

Your subscription provides access to the Service for a single authorized user only. You may not share, resell, or allow multiple individuals to access the Service under one account.

We actively monitor usage patterns to detect unauthorized access or account sharing. If we determine that multiple users are accessing the Service through your account:

• Your access may be suspended or permanently blocked immediately.
• No refunds or credits will be issued for violations of this policy.
• Continued violations may result in legal action to protect our intellectual property and Service integrity.

13. Messaging Policy and Marketing Communications

By opting into messaging from SMP Mockup Studio or by submitting any form on our websites or landing pages, you agree to our Privacy Policy and Terms & Conditions and provide your express written consent to be contacted by GoHighLead, LLC via text, phone call, email, or mail. This includes contact to wireless numbers and applies even if your number is listed on a federal or state Do Not Call list.

These communications may include:

• Appointment confirmations, reminders, and updates
• Notifications about services, scheduling, or changes
• Occasional promotional messages about offers or updates
• Responses to inquiries submitted through our website or forms
• Agreements, notices, and service updates (some communications are mandatory)

Consent Terms

By opting into our messaging service, you acknowledge and agree to the following:

• You may be contacted using automatic dialing equipment.
• Message and data rates may apply depending on your carrier plan.
• You may opt out at any time by replying "STOP" to any text message. Upon receipt, we will confirm your unsubscribe status and you will no longer receive SMS messages from us.
• Your consent to receive messages is not a condition of purchase of any goods or services.

Opt-Out Instructions

You can cancel the SMS service at any time by texting STOP. After sending STOP, you will receive one final confirmation message, and then you will no longer receive SMS messages from us. To rejoin, you may opt in again through our website or by requesting services.

Message Delivery

Carriers are not liable for delayed or undelivered messages.

Message Frequency and Rates

Message frequency varies. Message and data rates may apply for any messages sent to you from us and to us from you. For questions about your text or data plan, please contact your wireless provider.

Privacy

We respect your privacy. For details on how we collect, use, and safeguard your information, please review our privacy policy.

14. Case Study Usage

By using our services, you grant GoHighLead, LLC the right to reference and publicly display your business results, reviews, testimonials, campaigns, or outcomes as case studies for marketing and promotional purposes. Any such use will not disclose confidential information (such as exact client lists or sensitive financial details) without your prior written consent.

15. Changes to Terms

We reserve the right to modify or update these Terms at any time. Continued use of the Service following such changes constitutes acceptance of the revised Terms.

16. Governing Law and Arbitration

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.

Arbitration Agreement

Any dispute or claim relating in any way to the Software or this Agreement will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

The arbitration will be conducted in Florida under the rules of the American Arbitration Association. The arbitrator shall apply Florida law to all matters. Notwithstanding anything to the contrary, any party to the arbitration may at any time seek injunctions or other forms of equitable relief from any court of competent jurisdiction.

By entering into this Agreement and agreeing to arbitration, you agree that you and GoHighLead, LLC are each waiving the right to file a lawsuit and the right to a trial by jury. In addition, you agree that you have expressly and knowingly waived these rights.

This arbitration provision shall survive expiration, termination, or rescission of this Agreement.

17. Severability

If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that section will be removed without affecting the remainder of the Agreement. The remaining terms will be valid and enforceable.

18. General Provisions

This Agreement constitutes the entire agreement between you and GoHighLead, LLC and replaces all prior understandings, communications, and agreements, oral or written, regarding its subject matter.

This Agreement may be modified only by a written amendment signed by the parties or as provided in Section 15 (Changes to Terms) above.

You cannot assign or transfer ownership of this Agreement. However, GoHighLead, LLC may assign or transfer it without your consent to:

• An affiliate company
• Another company through a sale of assets by GoHighLead, LLC
• A successor by merger

Any assignment in violation of this section shall be void.

20. Lead Marketplace and Lead Transfer

SMP Mockup Studio operates a marketplace connecting consumers with independent scalp micropigmentation professionals ("Artists").

Consumer information and service inquiries may be made available to Artists through the platform.

You acknowledge that:

• Artists are independent third parties
• Artists are not employees, agents, or representatives of SMP Mockup Studio
• SMP Mockup Studio does not control Artist communications or services
• SMP Mockup Studio is not responsible for Artist conduct

SMP Mockup Studio acts solely as a technology platform and intermediary facilitating connections.

21. Artist Responsibility and Compliance

Artists who access consumer Leads agree that they are solely responsible for their communications and conduct.

Artists must comply with all applicable laws, including telemarketing, privacy, SMS, and email communication regulations.

Artists agree to indemnify and hold harmless GoHighLead, LLC and SMP Mockup Studio from any claims arising from Artist communications, services, or conduct.

22. No Guarantee of Lead Accuracy or Conversion

Leads and consumer inquiries are provided "as is."

SMP Mockup Studio makes no guarantees regarding:

• Lead accuracy
• Lead completeness
• Lead availability
• Lead responsiveness
• Lead conversion

Artists assume all risk associated with Lead use.

23. No Responsibility for Third-Party Services

SMP Mockup Studio is not responsible for services provided by Artists.

Any agreement, communication, or transaction between consumers and Artists is solely between those parties.

SMP Mockup Studio is not liable for disputes, damages, or claims arising from Artist services.
